Explore What’s Possible with Laine.
Legal AI that holds itself to the standards of the profession.
Overview
Drafting in Laine starts with a conversation, not a blank template. You say what you need, Laine asks only the questions that matter for that agreement type, and what comes back is a properly structured document — clauses in the right order, defined terms in place, formatting that matches how your firm works.
You can draft from scratch, from the Laine Library, or from your own precedents. Whichever you pick, the rest of this guide applies.
Starting a new document
Eight steps from intent to draft
What can you draft
Whatever the matter asks for, Laine can draft it. There is no fixed menu to work within. Describe the document you need and it gets built around your facts, in your jurisdiction, in your style.
To get you started, here is a little inspiration: a selection from the Laine Library, crafted by qualified legal professionals for every jurisdiction Laine supports, from ADGM and DIFC to Switzerland and the US, and kept current as the law moves.
Corporate
Board meeting minutes, board and shareholder resolutions, shareholders’ agreements, powers of attorney.
Commercial
Supply and distribution, directorship agreements, NDAs, MoUs and term sheets.
Venture capital and Acquisitions
Asset purchase agreements, convertible notes, investors’ rights agreements, quota purchase agreements.
Employment
Employment contracts, termination letters, offer letters, settlement agreements.
Loans and Finance
Facility and shareholder loans, guarantee agreements, fund management agreements, security documents.
Services
Services and SaaS agreements, statements of work, agency and referral arrangements.
Laine holds one of the broadest legal template libraries available, and each category runs deeper than the examples shown here, so it is worth browsing what fits your matter. You can also upload the precedents you already trust and draft from those instead.
How to ask – example requests
Laine will ask for anything it’s missing, but the more you give it up front, the closer the first draft lands. A good request names the document, the jurisdiction, the parties and the commercial terms that matter to you.
Share transfer
“Draft an ADGM share transfer agreement moving 30% of X Holdings Ltd from John Smith to Y Ventures FZ-LLC for USD 1.2m, completion on 15 October, seller giving title and capacity warranties only.”
Names the parties, the stake, the price, the date and the warranty position.
Services agreement
“A Swiss law services agreement for a 12-month engagement, CHF 12,000 per month, 30-day payment terms, client owns the deliverables, either party may terminate on 60 days’ notice.”
Term, fees, IP and termination stated, so the first version reflects your position.
From your precedent
“Use our standard shareholder loan template for a USD 500k facility to Knitloop Labs Ltd at 6% per annum, repayable on demand after 24 months, and keep our house numbering.”
Points Laine at a template in your library and states the commercial variables.
Shorter is fine too — “NDA for a vendor discussion, mutual, ADGM” gets you moving, and Laine collects the rest through its questions.
Where documents are kept
My Documents, sorted as you go
Everything drafted with Laine is saved in My Documents, in a dedicated folder: Contracts, Memos, Templates, and Document Review for the ones you have reviewed. You can create your own folders too, and upload files in bulk or one at a time.
